Welcome to Climate Value Chain (“Climate Value Chain,” “we,” “us,” or “our”), a business directory and discovery platform operated by PeriCarbon. These Terms and Conditions (“Terms”) govern your access to and use of the Climate Value Chain website, directory, listings, accounts, content, products, services, and related features available through climatevaluechain.com and any associated pages, tools, or communications (collectively, the “Platform”).

By accessing or using the Platform, creating an account, submitting or claiming a listing, purchasing a listing package, posting content, or otherwise interacting with the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

1. About the Platform

Climate Value Chain is a directory and discovery platform intended to help users identify and learn about businesses, organizations, service providers, developers, consultants, technology companies, investors, marketplaces, and other participants operating in sustainability, climate, carbon, energy, circular economy, ESG, and related sectors.

Climate Value Chain is not a broker, dealer, exchange, registry, certification body, auditor, verifier, legal advisor, accounting firm, investment advisor, or fiduciary. Unless we explicitly state otherwise in writing, we do not independently verify, certify, warrant, or guarantee the accuracy, legality, quality, performance, creditworthiness, environmental integrity, emissions impact, financial suitability, or regulatory compliance of any listed entity, product, service, project, claim, or representation appearing on the Platform.

2. Eligibility

You may use the Platform only if you are legally capable of entering into a binding agreement under the laws applicable to you. If you are using the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

You must not use the Platform if doing so would violate any applicable law, regulation, sanction, or contractual restriction.

3. Accounts and Registration

Certain features of the Platform may require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep that information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized use of your account or other security incident.

We reserve the right to suspend, restrict, or terminate accounts that are inaccurate, misleading, fraudulent, inactive for extended periods, or used in violation of these Terms.

4. Listings and Directory Content

The Platform may include listings created by us, submitted by businesses, claimed by authorized representatives, or otherwise contributed by users or third parties.

By submitting, editing, claiming, or maintaining a listing, you represent and warrant that:

1. you have the legal right and authority to provide the content;
2. the information you provide is true, accurate, current, and not misleading;
3. your content does not infringe any third-party rights, including intellectual property, privacy, publicity, confidentiality, or contractual rights;
4. your content does not contain false, deceptive, defamatory, unlawful, or unsubstantiated claims; and
5. you will promptly update your listing if material information changes.

We may, but are not obligated to, review, edit, classify, reformat, refuse, suspend, remove, or reinstate listings at our sole discretion.

5. Claiming a Listing

The Platform may permit users to claim an existing listing. By claiming a listing, you represent and warrant that you are an authorized representative of the relevant business or organization.

We may require proof of identity, affiliation, business ownership, corporate authorization, or other documentation before approving or maintaining a claim. We may reject, reverse, suspend, or revoke any listing claim where authorization is unclear, disputed, misleading, or unsupported.

Approval of a claim does not constitute endorsement, certification, or legal verification of the business.

6. Paid Plans, Featured Placements, and Promotional Visibility

Climate Value Chain may offer paid products, subscriptions, packages, upgrades, premium profile tools, featured placements, sponsorships, or promotional visibility options.

By purchasing any paid feature, you agree that:

1. all fees are payable as stated at the time of purchase;
2. you are purchasing visibility, promotional tools, profile enhancements, or related platform benefits as described at checkout;
3. payment does not guarantee leads, traffic, business results, conversion rates, rankings outside the Platform, regulatory approval, commercial success, investor interest, or third-party engagement;
4. featured status, sponsorship labels, badges, or promotional placement do not constitute our endorsement, certification, or guarantee of the listed party; and
5. we may change pricing, plan features, packaging, and availability at any time for future purchases or renewal periods.

Unless otherwise stated in writing, fees are non-refundable once a paid feature has been activated, published, or made available. If we remove or suspend a paid listing due to your violation of these Terms, you will not be entitled to a refund.

If any paid plan renews automatically, that renewal arrangement must be clearly disclosed at the point of purchase and will continue unless cancelled in accordance with the applicable plan terms.

7. Reviews, Ratings, Testimonials, and User Feedback

The Platform may allow users to submit reviews, ratings, comments, testimonials, or similar feedback.

You agree that any review or feedback you post will be honest, based on real experience where applicable, and not false, misleading, defamatory, abusive, fabricated, or submitted for an improper purpose. You must disclose any material relationship you have with the business or entity being reviewed, including where you are an owner, employee, contractor, affiliate, investor, family member, competitor, or otherwise connected.

You must not post or encourage fake reviews, undisclosed incentivized reviews, coordinated reviews, retaliatory reviews, or reviews intended to manipulate rankings or mislead users.

We reserve the right, but not the obligation, to monitor, moderate, reject, remove, or investigate reviews and feedback at our discretion.

8. Climate, Carbon, Sustainability, and ESG Disclaimer

Because the Platform includes businesses and content related to climate, carbon markets, sustainability, circular economy, energy transition, ESG, and environmental services, you acknowledge and agree that:

1. listings may contain representations made by the listed entity and not by Climate Value Chain;
2. we do not guarantee the accuracy of claims regarding carbon credits, carbon offsets, emissions reductions, removals, additionality, permanence, co-benefits, methodologies, certifications, registry status, legal compliance, or environmental performance;
3. we do not guarantee that any project, service, credit, platform, methodology, or provider is suitable for your legal, commercial, accounting, reporting, procurement, or investment objectives; and
4. you are solely responsible for conducting your own due diligence before relying on any listing or entering into any off-platform transaction or relationship.

Nothing on the Platform constitutes legal, tax, accounting, regulatory, financial, investment, technical, engineering, or environmental assurance advice.

9. No Endorsement

Inclusion in the Platform does not mean that Climate Value Chain or PeriCarbon endorses, recommends, certifies, audits, validates, guarantees, or approves any listed business, person, product, service, technology, climate claim, or transaction opportunity.

Any labels such as “featured,” “sponsored,” “partner,” “verified,” “top,” “recommended,” or similar descriptors must be interpreted only in the context expressly defined by the Platform at the time they are displayed. Unless specifically stated otherwise in writing, such labels do not constitute a legal, technical, scientific, or financial verification of the underlying entity or claims.

10. Third-Party Websites and Off-Platform Dealings

The Platform may link to third-party websites, booking systems, contact forms, social profiles, external materials, or other services not owned or controlled by us.

We are not responsible for any third-party website, content, availability, terms, privacy practices, products, services, offers, transactions, or business conduct. Your interactions with any listed entity or third party are solely between you and that third party.

Any contract, purchase, investment, service engagement, project participation, or business relationship arising from a listing or link on the Platform is entirely at your own risk.

11. User Content Licence

You retain ownership of the text, images, logos, videos, documents, reviews, testimonials, and other content you submit to the Platform (“User Content”), subject to the rights you grant below.

By submitting User Content, you grant Climate Value Chain and PeriCarbon a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to host, use, reproduce, store, publish, display, perform, adapt, modify for formatting, distribute, market, and otherwise exploit that User Content as reasonably necessary to operate, improve, promote, and provide the Platform and related services.

You represent and warrant that you have all rights necessary to grant this licence.

12. Intellectual Property

The Platform, including its design, layout, selection, arrangement, taxonomy, branding, software, text, graphics, icons, databases, and original content made available by us, is owned by or licensed to Climate Value Chain, PeriCarbon, or our licensors and is protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, reproduce, republish, upload, scrape, frame, mirror, modify, distribute, sell, licence, reverse engineer, or exploit any part of the Platform without our prior written consent.

13. Acceptable Use

You agree not to:

1. use the Platform for any unlawful, fraudulent, deceptive, defamatory, abusive, or harmful purpose;
2. impersonate any person or entity or falsely state your affiliation;
3. submit inaccurate, misleading, or outdated listing information;
4. post false, unsubstantiated, or deceptive environmental or commercial claims;
5. upload malware, malicious code, or harmful content;
6. interfere with the security, integrity, or operation of the Platform;
7. scrape, harvest, mine, or extract listing data, contact information, reviews, or other content using automated or manual means without our written permission;
8. send spam, unsolicited solicitations, or unauthorized marketing through the Platform or using data obtained from it;
9. manipulate rankings, reviews, badges, or visibility features;
10. infringe the intellectual property or privacy rights of others; or
11. use the Platform in a manner that could damage our reputation or expose us or others to liability.

14. Data Accuracy and Availability

We do not guarantee that the Platform, listings, search results, categories, rankings, profile information, reviews, or other content will be complete, accurate, current, error-free, secure, or uninterrupted.

We may update, modify, suspend, restrict, or discontinue any feature, category, page, listing format, pricing structure, or part of the Platform at any time without liability.

15. Privacy

Your use of the Platform is also subject to our Privacy Policy, which explains how we collect, use, disclose, and protect personal information. By using the Platform, you acknowledge that you have read and understood our Privacy Policy.

Where required by applicable law, you agree that we may collect, use, and disclose your information for the purposes described in our Privacy Policy and as necessary to operate the Platform, administer accounts, process purchases, respond to inquiries, improve services, enforce these Terms, and comply with legal obligations.

16. Reporting Concerns

If you believe that a listing, review, claim, logo, image, or other content on the Platform is inaccurate, unauthorized, misleading, infringing, defamatory, or otherwise improper, you may contact us at:

We may investigate such reports but are not obligated to remove content unless we determine removal is appropriate or required.

17. Termination and Suspension

We may suspend, restrict, or terminate your access to the Platform, your account, your listing, or any paid or unpaid feature at any time, with or without notice, if we believe:

1. you have violated these Terms;
2. your content is inaccurate, misleading, unlawful, infringing, or harmful;
3. your conduct exposes us, users, or third parties to legal, reputational, security, or operational risk; or
4. suspension or removal is necessary to protect the integrity of the Platform.

Upon termination, provisions of these Terms that by their nature should survive termination will continue to apply, including provisions relating to intellectual property, disclaimers, liability limitations, indemnity, disputes, and licences granted to us.

18. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES, CONDITIONS, OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR COLLATERAL.

WE DISCLAIM ALL IMPLIED WARRANTIES OR CONDITIONS, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, OR THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, RELIABLE, AVAILABLE, OR SUITABLE FOR YOUR NEEDS.

WE DO NOT WARRANT THAT ANY LISTED ENTITY, PROJECT, PRODUCT, SERVICE, REVIEW, CLAIM, OR THIRD-PARTY CONTENT IS ACCURATE, COMPLETE, VERIFIED, COMPLIANT, INVESTABLE, BANKABLE, OR FIT FOR ANY PARTICULAR COMMERCIAL, LEGAL, OR REGULATORY PURPOSE.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLIMATE VALUE CHAIN, PERICARBON, AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, DATA, GOODWILL, OR REPUTATION, ARISING OUT OF OR RELATED TO:

1. YOUR USE OF OR INABILITY TO USE THE PLATFORM;
2. ANY LISTING, REVIEW, CLAIM, OR CONTENT APPEARING ON THE PLATFORM;
3. ANY DEALINGS OR DISPUTES BETWEEN YOU AND A THIRD PARTY;
4. ANY BUSINESS DECISION, PROCUREMENT DECISION, INVESTMENT DECISION, OR RELIANCE ON INFORMATION FOUND THROUGH THE PLATFORM;
5. UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA; OR
6. PLATFORM INTERRUPTION, ERROR, DELAY, OR SECURITY INCIDENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(a) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
(b) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.

20. Indemnity

You agree to defend, indemnify, and hold harmless Climate Value Chain, PeriCarbon, and their directors, officers, employees, contractors, affiliates, licensors, agents, and service providers from and against any claims, demands, actions, proceedings, damages, losses, liabilities, penalties, judgments, settlements, costs, and expenses, including reasonable legal fees, arising out of or related to:

1. your use of the Platform;
2. your breach of these Terms;
3. your User Content;
4. your listing, claim, review, or submission;
5. your violation of any law or third-party rights; or
6. any dispute between you and another user, listed entity, or third party.

21. Governing Law

These Terms and any dispute, controversy, or claim arising out of or relating to these Terms or the Platform will be governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts located in Alberta, Canada, unless applicable law requires otherwise.

22. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date above. If changes are material, we may also provide notice through the Platform or by other reasonable means.

Your continued use of the Platform after updated Terms become effective constitutes your acceptance of the revised Terms.

23. General

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision under these Terms will not constitute a waiver of that right or provision.

These Terms, together with any policies or additional terms expressly incorporated by reference, constitute the entire agreement between you and us regarding the Platform and supersede all prior understandings relating to the same subject matter.
